Acceptance and Scope of Services

By accessing or using any services provided by Aperture Canvas, you agree to be bound by these Terms of Service. This agreement becomes effective immediately upon your acceptance, whether through a signed project proposal, payment of an invoice, or use of our provided services. These terms apply to all website design, development, e-commerce, brand identity, UI/UX, content management system integration, and ongoing maintenance and support services, as detailed in your specific project proposal.

Client and Service Provider Responsibilities

Aperture Canvas commits to delivering high-quality, professional web solutions as outlined in your project scope. This includes adherence to agreed-upon timelines and technical specifications. Clients are responsible for providing timely feedback, necessary content (text, images, branding assets), and approvals at various project milestones to ensure smooth progress. Any delays caused by an absence of client participation may affect project timelines and, in some cases, incur additional costs.

We reserve the right to modify these Terms of Service at any time. Any changes will be posted on this page with a revised 'effective date', and clients will be notified directly for substantial revisions. Continued use of our services after such modifications constitutes your acceptance of the new terms.

Service Scope and Deliverables

A clear understanding of project deliverables and expectations is paramount. This section meticulously defines the services we provide and what you can expect at each stage of your web design and development journey.

Our design and development services encompass everything from initial wireframing and prototyping to the final launch of your functional website. Deliverables include design mockups (PSD, Figma, or similar), HTML/CSS/JS code, integration with chosen CMS platforms, and responsive optimizations for various devices. Timelines for these deliverables are detailed in your project proposal, typically structured around agile sprint cycles.
Successful project completion relies heavily on diligent client cooperation. This includes providing all required content (text, images, videos, product data) within agreed-upon deadlines, offering prompt and clear feedback on designs and development iterations, attending scheduled meetings, and ensuring accessibility to necessary accounts (e.g., hosting, domain registrar, third-party APIs). Delays in providing these elements may lead to revisions in project timelines and could potentially incur additional charges.
Our services may include the integration of third-party platforms, such as e-commerce gateways (Shopify, WooCommerce), CRM systems (Salesforce), marketing automation tools, or specific APIs. While we ensure seamless technical integration, Aperture Canvas is not responsible for the functionality, reliability, or ongoing costs associated with these third-party services. Clients are responsible for understanding and adhering to the terms of service of any third-party products they wish to integrate.

Payment Terms and Policies

Our fixed pricing models provide clarity from the outset. This section details our payment structure, accepted methods, and policies regarding late payments or project cancellations.

Payment Schedule and Invoicing

Projects are typically billed on a milestone basis, with an initial deposit (usually 50% for projects under $5,000, or a specified percentage for larger projects) due upon agreement signing. Subsequent payments are tied to the completion of defined project milestones (e.g., design approval, development completion, content integration, final launch). All invoices are payable within 7 calendar days of receipt. Accepted payment methods include bank wire transfers, major credit cards, and secure online payment platforms.

Late Payment and Project Suspension

A late fee of 5% per month (or the maximum allowed by law, whichever is less) may be applied to overdue invoices. If an invoice remains unpaid for more than 15 calendar days beyond its due date, Aperture Canvas reserves the right to suspend all project work and services until the outstanding balance is settled. This suspension may lead to delays in project completion, for which Aperture Canvas will not be held responsible.

Cancellation and Refund Policy

In the event of project cancellation by the client, any payments made for completed milestones or work-in-progress up to the point of cancellation are non-refundable. If the project is terminated by Aperture Canvas due to significant breach of terms by the client (e.g., repeated non-payment, extreme delays in content provision), all outstanding payments become immediately due for work completed. Partial refunds for uncommenced work may be considered on a case-by-case basis, less any administrative or setup fees.

Intellectual Property and Usage Rights

Clarity on ownership and usage is vital. This section defines the rights pertaining to the custom work we create and any third-party elements integrated into your project.

Client Ownership of Final Deliverables

Upon full and final payment for all services rendered, the client will own the intellectual property rights to the custom design and code developed specifically for their project by Aperture Canvas. This includes, but is not limited to, the visual design, custom graphics, and proprietary code created for your website. This ownership does not extend to third-party licensed software, plugins, themes, or stock assets used in the project, which remain subject to their respective licensing agreements.

Aperture Canvas Portfolio & Promotional Usage

Aperture Canvas reserves the right to use the completed website design and development work for portfolio, promotional, and marketing purposes. This includes displaying your website as a case study on our website, social media, and in marketing materials. We commit to always representing the work professionally and respectfully. If a non-disclosure agreement (NDA) is in place, specific usage terms will be governed by that agreement.

Third-Party Asset Licensing

Any stock images, fonts, icons, plugins, or themes utilized in your project that are acquired by Aperture Canvas on your behalf will be licensed appropriately for their intended use. You agree to abide by the terms of those licenses. For assets provided by the client, it is the client's responsibility to ensure they possess the necessary licenses and rights for their use on the website. Aperture Canvas is not liable for any copyright or licensing infringements arising from client-provided materials.
